To recommend that Mr Peter Hopkins be appointed as a Director of Prospect Business Park Management Company (Swanage) Limited and request the necessary registration be filed at Companies House.

It is in the best interests of Dorset Council to retain this company, to review its duties and liabilities having been a company transferred under Local Government Review to Dorset Council.  This action enables due consideration to be given by Dorset Council’s to its longer term requirements and to assess future governance arrangements in respect of Prospect Business Park Management Company (Swanage) Limited.  This action would cease action by Companies House to strike the company off.

Whilst due to fact that not all the information about the Company’s duties and liabilities can be fully assessed at this time, it is considered prudent to regard this matter as a key decision as it could be the case following full assessment these obligations have a financial value grater than £500,000.

To not appoint a human Director to the Company and for Companies House to proceed with enforcement action to strike the company off.  This was rejected on the grounds of Dorset Council requiring retention of the company in order to discharge obligations which it has in respect of third parties.
